Important Notice: These Terms and Conditions govern general browsing and use of this website, and set out the standard engagement parameters for commercial services. Browsing this website does not, by itself, constitute an executed paid agreement for custom software, web development, or AI services. Paid deliverables require an executed Master Services Agreement (MSA) or Statement of Work (SOW).
1. Introduction and Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and BGR Technologies ([Legal Entity: BGR Technologies Private Limited], referred to as "Company," "we," "us," or "our").
By browsing, viewing, or interacting with our website at https://www.bgrtechnologies.in or by formally signing a service proposal, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of this website.
2. Definitions
For the purposes of these Terms:
- "Website" refers to the online presence operated by BGR Technologies, accessible at https://www.bgrtechnologies.in and its related pages.
- "Services" refers to Generative Engine Optimization (GEO), custom AI engineering, web and mobile app development, custom software engineering, digital marketing, search engine optimization, and related technical consulting services.
- "Deliverables" refers to the specific software code, designs, graphics, strategies, or configurations agreed upon in an executed Statement of Work (SOW).
- "Client Materials" refers to any content, logos, trademarks, database assets, or documentation provided by the Client for incorporation into Deliverables.
3. Website Use and Acceptable Conduct
You are granted a limited, revocable, non-exclusive license to access and use the Website solely for informational purposes and to inquire about our commercial services. You agree not to:
- Use automated scripts, bots, spiders, or scrapers to harvest data without prior written authorization.
- Attempt to bypass, disable, or tamper with security features, server infrastructure, or search-engine protection headers.
- Transmit unsolicited commercial solicitations, malware, viruses, or spam through our published contact channels.
- Misrepresent your identity, affiliation, or authority when communicating with our representatives.
4. Service Descriptions and Scope
Descriptions of our capabilities—including Generative Engine Optimization (GEO) & AI Services, Web & App Development, Digital Marketing, SEO & Growth, and Software Solutions—represent general competencies. The exact scope, architecture, timelines, and commercial consideration for any specific project are strictly defined in an executed Statement of Work (SOW) or written service quotation.
5. Project Proposals and Quotations
Estimates and formal project proposals issued by BGR Technologies are valid for thirty (30) calendar days from issuance unless otherwise noted in writing. A project proposal becomes an effective contract only upon written acceptance by authorized representatives of both parties and receipt of any required initial deposit.
6. Pricing, Payments, Taxes, and Invoicing
Unless expressly stated otherwise, all prices are quoted in Indian Rupees (INR) or United States Dollars (USD) as appropriate to the client jurisdiction.
- Milestone Payments: Projects are structured around milestone deliverables (e.g., initial deposit, design sign-off, development completion, final handover).
- Invoicing Terms: Invoices are payable within fourteen (14) days of issuance. Late payments may accrue statutory interest or result in temporary suspension of active development.
- Applicable Taxes: Invoices are subject to applicable taxes, including Goods and Services Tax (GST) for Indian clients, or local transaction taxes where mandated by law.
7. Project Timelines and Client Responsibilities
Delivery schedules are established in good faith and depend significantly upon timely Client collaboration. Client responsibilities include:
- Providing necessary assets, textual content, credentials, and API access within agreed timelines.
- Appointing a designated project representative with decision-making authority.
- Providing consolidated, written feedback on milestones within five (5) business days of submission.
Delays resulting from late Client asset submissions or prolonged review periods automatically extend the milestone delivery schedule.
8. Revisions, Approvals, and Change Requests
Project proposals specify the number of design or functional review rounds included in the base fee (typically two review iterations per milestone). Requests outside the agreed Statement of Work will be assessed as a formal Change Request and billed at our standard hourly or milestone rate.
9. Intellectual Property and Ownership of Deliverables
Intellectual property ownership is structured transparently:
- Client Materials: The Client retains all pre-existing intellectual property rights, trademarks, and copyright in assets provided to us.
- Final Deliverables: Upon receipt of full and final payment for all outstanding invoices, ownership of custom bespoke code and designs developed specifically for the Client transfers to the Client.
- Background Tools & Frameworks: BGR Technologies retains ownership of proprietary libraries, boilerplate components, general software utilities, and pre-existing code frameworks incorporated into deliverables, granting the Client a perpetual, royalty-free license to use them.
10. Third-Party Tools, Platforms, and AI Models
Our solutions may integrate third-party APIs, web hosting providers, cloud databases, large language models (OpenAI, Anthropic, Google Gemini), or advertising platforms. BGR Technologies does not control third-party service uptime, policy changes, API deprecations, or pricing modifications, and shall not be held liable for third-party platform interruptions.
11. Confidentiality
Both parties agree to protect and treat as confidential all proprietary business, financial, technical, and operational information disclosed during the project lifecycle. Confidential information shall not be disclosed to any third party without prior written consent, except where required by lawful subpoena or regulatory authority.
12. Warranties and Disclaimers
Website Warranty Disclaimer: The Website and its contents are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.
Service Deliverables: Deliverables are warranted against material bugs and non-conformities with the agreed specification for thirty (30) days following final handover, provided no unauthorized modifications have been made by third parties.
No Algorithmic Guarantee: While we employ industry-leading, white-hat Generative Engine Optimization and SEO practices, we do not guarantee specific AI answer citations, search engine rankings, or commercial conversion figures, as third-party AI models and search algorithms remain beyond external control.
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall BGR Technologies, its directors, employees, or contractors be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, business interruption, or reputational harm.
Our cumulative liability arising from or relating to any professional engagement shall not exceed the total fees actually paid to BGR Technologies under the applicable Statement of Work in the three (3) months preceding the incident.
14. Indemnification
The Client agrees to defend, indemnify, and hold harmless BGR Technologies from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) Client Materials that infringe third-party copyright or trademark rights; or (b) the Client's unlawful use of Deliverables.
15. Suspension and Termination of Services
Either party may terminate an active project agreement upon fourteen (14) days written notice if the other party commits a material breach and fails to remedy it within that period. Upon termination, the Client shall compensate BGR Technologies for all billable work completed up to the effective termination date.
16. External Links
The Website may contain links to external third-party websites for informational convenience. BGR Technologies does not endorse, control, or assume responsibility for external website content, privacy practices, or accuracy.
17. Changes to These Terms
We reserve the right to modify these Terms at our discretion. Any revisions will be published on this page with an updated "Effective Date." Continued use of the Website after modifications constitutes acceptance of the amended Terms.
18. Governing Law and Dispute Resolution
These Terms and any contractual engagements shall be governed by and construed in accordance with the substantive laws of India, without giving effect to conflict-of-law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms shall first be addressed through good-faith direct executive negotiations for a period of thirty (30) days. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.
